The Corporate and Business Law Division in the Commercial Law Department has wide and extensive experience in acting for both corporate and other clients engaged in all sectors of the economy. We also handle the incorporation of companies and business enterprises; the preparation, perusal, authentication and witnessing of commercial contracts and agreements; loan agreements; the drafting and perusal of banking securities that involve companies such as debentures; share purchase Agreements and shareholders’ Agreements. Our Firm further provides legal advice as necessary to its clients in various business areas that such clients are involved in.

Intellectual Property Law

It is now acknowledged that intangible assets are integral part of any Organization and the economy at large. In recognition of this fact, our Firm has acquired expertise in matters relating to advisory, registration and dispute resolution of all manners of Intellectual Property (IP) including Patents, Utility Models, Trademarks, Trade Secrets, Domain Names and Franchising, Industrial Designs, Copyright, Anti- Counterfeit Procedures, Plant Breeders’ Rights and Geographical Indications. Pensions Law

The Pensions Division in the Commercial Department advises clients on the Retirement Benefits matters. Our clients include Pension Schemes and service providers for Schemes such as Administrators and Founders of Retirement Benefit schemes. The administrators that the Firm has been retained to act for have a cumulative docket of of schemes. The Firm drafts Trust Deeds and Rules for Pension Schemes and other documents such as Deeds of Amendment and Deeds of Appointment.

Tax Law

The Firm's Tax Division provides comprehensive tax services to both local and international clients across various sectors, ensuring compliance with tax laws while optimizing efficiency. Under the Commercial Law Department, the Firm has offered services on projects as legal advisor for companies or entities that require restructuring or privatization. We have acted for companies and individuals investing in other companies, private equities and divesting companies by handling the transaction structuring and ensuring that all compliance requirements are met. These include liaising with regulatory authorities. Private Equity Transactions

The quality and speed with which Private Equity (PE) investment transactions are carried out under the modern investment space will determine whether a deal will be secured and sealed. Employment and Labour Law

Under our Commercial Law Department, we draft the various Letters of Engagement or Employment Contracts for several of our corporate clients. We also draft various policies that are required at the workplace and are also involved in Collective Bargaining Agreements that our clients may wish to enter into with any of their union sable staff. We also advise them on any breaches of employment contracts and defend them in any Civil Litigation that may arise.

The Real Estate Sale & Purchase Division handles property transactions; the services offered extend from Transactional Due Diligence, Preparation of Sale Agreements, Land Subdivision, Change of Use and Planning, Environmental Compliance, Structuring Joint Ventures between Land Owners, Financiers and Developers, Handling Sophisticated Mixed Use Development Transactions, Tax and general conveyance for our clients and emphasizing terms that protect our clients’ interests.

Securities

The Banking and Securities Division helps drive business and personal development growth by drafting, preparing and perfecting facility agreements which include First- and Third-Party Charges, assets debentures, corporate guarantees, deeds of exclusion, accompanying board resolutions amongst others. The Division further advises various lenders on suitable security documentation that may secure the Lenders’ interest and has over time worked closely with affiliate Divisions in the Firm in handling delicate banking disputes and debt recovery.

Environmental Law

Under our three Departments, we offer advice to developers and other property dealers as to the regulations regarding their enterprises and how best to proceed in keeping with the environmental regulations in place. We also counsel and work for major regulatory bodies as to the conduct and approach to all the legal issues touching on the environment. We have also appeared in several instances for our clients before the National Environmental Counsel.

Leases

The Leases Division under our Conveyancing and Property Law Department handles the drafting and registration of leases for various landlords of commercial buildings. We liaise with property agents to ensure that the letters of offer are duly executed to enable us prepare the leases. We are also involved in the registration process to ensure that the leases are registered so as to protect our clients’ interests. We also review lease agreements for individual clients and advise on any changes in the Tanzanian Land Law that may affect tenancies.

General Litigation

Our Civil Litigation Department deals with different forms of litigation that arise during the ordinary course of business where we need to file a suit on behalf of or defend any cases that are filed against our clients. These may be disputes arising out of contractual breach or leases, tenancies and licenses and other matters where a party may feel that they need to take action in court to enforce their claims.

Arbitration and Mediation

Under the Civil Litigation Department, the Firm has undertaken arbitration proceedings for its clients. The Advocates in the Firm have undertaken courses in arbitration and mediation. Disputes inevitably occur even where meticulous preparation and avoidance mechanisms are applied. It is for this reason that we have established a department to exclusively deal and assist the other Departments in dispute resolution.

Debt Recovery

Under the Civil Litigation Department at the Firm, we act for clients who wish to recover amounts that are lent to persons and institutions under debt recovery work that we do for our clients including banks and other financial institutions. Additionally, we take up Civil or Commercial Litigation that may be filed against our corporate clients arising out of claims of breach of contract or otherwise that involves payment of some sums. We also institute such Litigation where necessary on behalf of our clients

Family Division

The Family Law Division seeks to find solutions to issues relating to often complex relationships between individuals who share a domestic connection including marriage and parenthood among others. There is always need for litigation to seek clarification or guidance on the meaning, interpretation and implementation of the Constitution because social and political issues keep changing or developing. The Constitutional Division of the Firm deals with the interpretation and application of the powers, rights and freedoms established by the Constitution of the United Republic of Tanzania of 1977 and its various amendments.
